Non-Disclosure Agreement

Overview

This Mutual Non-Disclosure Agreement ("Agreement") is entered into between The DCP Company ("Service Provider") and the client submitting materials ("Client"). The purpose of this Agreement is to ensure that both parties protect the confidentiality of materials, communications, and project information exchanged during DCP creation and related post-production services.

Purpose

The Client may provide creative materials and information to The DCP Company in order to complete DCP mastering and related services. Both parties agree that any confidential materials shared during the course of a project will be used solely for the purpose of completing the agreed services.

Definition of Confidential Information

Confidential Information includes any non-public materials shared between the parties, including video or audio files, scripts, captions, subtitles, production documents, unreleased visual or audio content, project titles, synopses, credits, festival plans, communications between The DCP Company and the Client, and technical workflows, pricing structures, or internal tools used by The DCP Company. Confidential Information may exist in digital, written, verbal, or any other form.

Obligations of The DCP Company

The DCP Company agrees to treat all Client materials as confidential, use project materials only for the purpose of completing the requested services, not publicly share, display, or distribute any portion of the Client's project without written permission, and store materials using reasonable security practices, including encrypted storage and secure file transfer platforms when possible. Obligations of the Client

The Client agrees not to disclose or distribute proprietary information belonging to The DCP Company, including internal workflows, pricing structures, technical methods, and private business communications, without prior written consent from The DCP Company.

Client Rights & Permissions

The Client represents and warrants that they have the legal right to provide all materials submitted to The DCP Company. This includes confirmation that the Client holds the necessary rights, licenses, or permissions for video content, audio and music, images and graphics, subtitles, captions, scripts, and any other intellectual property included in the project materials. The DCP Company is not responsible for verifying ownership of submitted materials and will not be liable for any claims arising from copyright infringement or unauthorized use of content supplied by the Client.

Exceptions

Confidential Information does not include information that becomes publicly available through no breach of this Agreement, was already known to the receiving party prior to disclosure, is independently developed without reference to the other party's confidential materials, or must be disclosed due to legal obligation, court order, or government request.

File Retention & Deletion

Project files are typically retained for up to one year after final delivery unless otherwise agreed. Clients may request earlier deletion of materials at any time.

Term of Agreement

This Agreement remains in effect for two years from the start of the project or until the Client's project has been publicly released, whichever occurs first.

Acceptance

By submitting project materials, purchasing services, or otherwise engaging The DCP Company for work, the Client acknowledges and agrees to the terms of this Agreement. This NDA applies automatically to all projects handled by The DCP Company unless a separate written agreement is executed.
